Michael F. Hayduk, Q.C.

Commercial Law Associate

Michael has practiced corporate and commercial law since 1977. Michael has worked with many clients to start, finance and sell their business, as well as protect their intellectual property and purchase other businesses. These matters have involved incorporating and amalgamating provincial and federal corporations and partnerships. Financing includes debt financing from banks, treasury branches, and private lenders using a variety of security documents. Michael also has a background in equity financings including prospectus offerings and private placement with and without offering memoranda. He has acted to list companies on the TSX Venture and Toronto Stock Exchanges. Michael was counsel at the Alberta Securities Commission for six years and has a Master of Laws in securities law.

Michael has advised private and public company boards of directors and special committees with respect to going public, corporate governance, going private, unanimous shareholder agreements, shareholder meetings, and take over issuer bids. He has negotiated on behalf of his clients with prospective investors, financiers, purchasers and sellers. Michael has handled the implementation of complex tax driven transactions and reorganizations, working cooperatively with his client’s tax advisers. He has prepared a variety of commercial agreements from licenses to franchises, and easements to trust deeds.
